GoWhee — Terms of Use
Effective date: October 21, 2025
Agreement between you and GoWhee Technologies LLC. By accessing or using the Website, App, or any other services (the Services), you agree to these Terms of Use (the Terms). If you do not agree, do not use the Services.
1) Eligibility
You must be at least 18 to use the Services, or the age of majority in your jurisdiction. If you are 13–17 (or 16–17 in the EEA/UK), you may use the Services only with permission and supervision of a parent/guardian who agrees to these Terms on your behalf. The Services are not intended for children under 13.
2) Accounts & Security
Provide accurate information and keep it updated. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. Notify us immediately of unauthorized use. We may refuse or reclaim usernames.
3) License & Acceptable Use
We grant you a limited, personal, non‑exclusive, non‑transferable, revocable license to access and use the Services for their intended purpose, subject to these Terms.
You agree not to:
copy, modify, distribute, sell, lease, or reverse engineer any part of the Services;
bypass, disable, or interfere with security or access controls;
use the Services to infringe the rights of others, transmit malware, scrape or harvest data, or send spam;
submit unlawful, misleading, defamatory, obscene, or harmful content; or
use the Services for any illegal or unauthorized purpose.
We may investigate and take appropriate action, including removing content, suspending accounts, and contacting law enforcement when warranted.
4) Content Protection; No Scraping, No AI Training, No Competitor Use
You may not (and you agree not to enable others to): (a) copy, download, bulk export, cache, frame, or mirror any portion of the Services or Content except as expressly permitted in these Terms; (b) conduct or facilitate scraping, crawling, harvesting, or other automated data extraction; (c) perform text‑and‑data mining or use the Services or Content to train, fine‑tune, or improve any machine learning or artificial intelligence systems, without our prior written consent; (d) use the Services or Content to build or improve a competing product or service; or (e) remove, obscure, or alter any copyright, trademark, watermark, proprietary notice, or technological measures protecting the Services or Content. We may employ technical (e.g., rate limiting, watermarking, access controls) and legal measures to enforce this Section.
API/Feed Access. Any access to our data via API, feed, export tools, or integrations is subject to a separate written agreement. Absent such agreement, automated access is prohibited.
5) User‑Generated Content (UGC)
You may submit reviews, photos, and other content (UGC). UGC is intended for public display within the Services and may be visible to others, indexed or searchable, and may appear in emails, push notifications, or promotions for the Services. Do not submit UGC you do not want publicly displayed. We may transcode, reformat, crop, resize, compress, and apply visible or invisible watermarks to UGC.
License You Grant. By submitting UGC, you grant GoWhee a worldwide, non‑exclusive, transferable, sublicensable, royalty‑free, fully‑paid license to host, store, reproduce, adapt, modify, create derivative works (e.g., translations, composites, thumbnails), publish, publicly perform, publicly display, distribute, and otherwise use your UGC in connection with operating, improving, and promoting the Services (including on our websites, apps, emails, and official social channels). This license lasts while your UGC is available on the Services and, for a reasonable period thereafter, to the extent we reasonably relied on your UGC (e.g., previously distributed materials) or must retain copies for legal, compliance, safety, fraud‑prevention, or backup purposes.
Public Display & Persistence; Deletion Requests. You may remove your UGC from your account, and we will make reasonable efforts to remove it from active display. However, copies may remain in caches, backups, logs, or previously distributed materials; and we may retain UGC where required or permitted by law (including for legal claims, compliance, safety, and fraud prevention). Where UGC features minors, you are the parent/guardian or have obtained all required permissions. To the maximum extent permitted by law, you waive moral rights or similar rights in the UGC and consent to our editing/formatting or other technical processing.
We may, but have no obligation to, monitor or moderate UGC. We reserve the right to remove or refuse any UGC in our sole discretion.
6) Mobile App Permissions & Location Features
Some features require access to device services (e.g., camera, photos, push notifications) or precise location. You can disable permissions in your device settings, but certain features may not function. You are responsible for any carrier/data fees.
7) Subscriptions, Trials & Billing (if offered)
7.1 Auto‑renewal. Paid subscriptions renew automatically unless canceled per the platform’s rules (e.g., Apple App Store, Google Play) or your account settings.
7.2 App Store Purchases — No Direct Refunds by GoWhee. If you purchase or subscribe through an app store or other third‑party platform, that platform is the merchant of record. All billing, cancellations, and refunds for those transactions are handled exclusively by the platform under its terms and policies. We cannot issue refunds for purchases made through app stores.
7.3 Direct Purchases from GoWhee. If we offer direct purchases (not via an app store): (a) you authorize us and our processors to charge your payment method for fees and taxes; (b) all fees are non‑refundable and non‑transferable, except as required by law or as we explicitly state in writing for a specific offer; (c) partial periods are not prorated; (d) goodwill credits are at our discretion and have no cash value.
7.4 Free trials & promos. If we provide a free trial, we’ll disclose the length and what happens at the end. Unless you cancel before the trial ends, the paid plan begins automatically and the first charge is non‑refundable (except where required by law or platform policy).
7.5 Price, features & changes. We may change prices, bundles, or features prospectively. We will provide notice as required by law or platform rules. Changes apply to the next billing period after notice.
7.6 Taxes & currency. Fees are exclusive of taxes/duties unless stated. You are responsible for applicable taxes; we may collect and remit where required. Your bank may apply FX/transaction fees.
7.7 Chargebacks & disputes. Contact maud@gowhee.com first so we can help. If you purchased via an app store, you must use that store’s dispute/refund tools. We may suspend or terminate access for fraudulent or abusive disputes and may refer suspected fraud to payment platforms and authorities.
7.8 App store terms prevail. Where these Terms conflict with an app store’s rules for billing, cancellations, or refunds, the app store rules control for those transactions.
8) Third‑Party Services
The Services may display or integrate third‑party content, maps, listings, or ads. We do not control and are not responsible for third‑party services. Your use is subject to their terms and privacy policies.
9) Intellectual Property
The Services (excluding your UGC and third‑party content), including all content, software, and trademarks, are owned by GoWhee or its licensors and protected by intellectual property laws. All rights not expressly granted are reserved.
10) Feedback
If you provide ideas or suggestions, you grant us a perpetual, worldwide, royalty‑free license to use them without restriction or compensation.
11) Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR‑FREE, OR THAT CONTENT WILL BE ACCURATE OR RELIABLE. LOCATION‑BASED RESULTS, MAPS, AND THIRD‑PARTY LISTINGS ARE INFORMATIONAL ONLY AND MAY BE INCOMPLETE OR OUT OF DATE.
12) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOWHEE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU PAID US (IF ANY) FOR THE 12 MONTHS BEFORE THE CLAIM, OR (B) USD $100. Some jurisdictions do not allow certain limitations; in those cases, some limitations may not apply to you.
13) Indemnification
You agree to defend, indemnify, and hold harmless GoWhee and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your UGC; (b) your violation of these Terms; or (c) your violation of any law or third‑party rights.
14) Termination & Suspension
We may suspend or terminate access to the Services at any time, with or without notice, if we believe you violated these Terms or we discontinue the Services. You may stop using the Services at any time. Sections that by their nature should survive termination will survive (e.g., IP ownership, disclaimers, limits of liability, indemnity, dispute resolution).
15) Governing Law & Dispute Resolution
Governing law. These Terms and any disputes are governed by the laws of the State of Vermont, USA, without regard to conflict‑of‑law principles, except that mandatory consumer protection laws of your country of residence still apply.
Venue. Except as provided below, the state and federal courts located in Vermont (Chittenden County) have exclusive jurisdiction; you and GoWhee consent to personal jurisdiction and waive objections to venue and forum non conveniens.
Arbitration & Class Action Waiver (U.S. users). Any dispute arising out of or relating to these Terms or the Services will be resolved by binding arbitration on an individual basis under the rules of the American Arbitration Association. You and GoWhee waive any right to a jury trial or to participate in a class action. You may opt out of arbitration within 30 days of first accepting these Terms by emailing maud@gowhee.com with subject “Arbitration Opt‑Out” and your account email. Nothing prevents you from seeking relief in small claims court where available or from seeking injunctive or other equitable relief for intellectual property infringement.
16) Changes to the Services or Terms
We may modify or discontinue all or part of the Services at any time. We may update these Terms from time to time. Continued use after changes become effective constitutes acceptance. If you do not agree, stop using the Services.

18) Miscellaneous
These Terms constitute the entire agreement between you and GoWhee regarding the Services and supersede prior agreements. If any provision is held invalid, the remainder remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them as part of a corporate transaction.
Export controls & sanctions. You may not use or access the Services if you are located in or are a resident of a country/region subject to comprehensive U.S. sanctions, or if you are on a U.S. or other applicable sanctions/denied‑party list. You agree to comply with all applicable export control and sanctions laws.
Force majeure. We are not liable for any delay or failure to perform due to events beyond our reasonable control, including acts of God, labor disputes, internet or utility failures, governmental actions, war, terrorism, epidemics, or natural disasters.
No agency. No joint venture, partnership, employment, or agency relationship is created by your use of the Services.
Severability. If any part of these Terms is unenforceable, that part will be construed to reflect the parties’ original intent, and the remaining parts will remain in full force and effect.
